Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Filely iOS application ("the app", "we", "our"). By downloading, installing, or using the app you agree to these Terms. If you do not agree, do not use the app.

1. Eligibility

You must be at least 13 years old to use Filely. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.

2. License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use Filely on iOS devices that you own or control, in accordance with the Apple App Store EULA.

• You may not copy, modify, reverse-engineer, or distribute the app.
• You may not use the app to violate any law or third-party right.
• You may not use the app to download content for which you do not have the right to download (see Section 6).

3. Subscriptions & Purchases

Filely offers an optional auto-renewing subscription Filely Pro:

• Payment is charged to your Apple ID at confirmation of purchase.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
• Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period.
• You can manage or cancel subscriptions in iOS Settings → [your name] → Subscriptions.
• Any unused portion of a free trial will be forfeited when you purchase a subscription.
• Activation codes (when issued by us) are non-transferable, may have an expiration, and may be revoked for misuse.

4. No User Accounts

Filely does not require you to create an account. Pro entitlement is tied to your Apple ID via StoreKit. We do not store user-identifying credentials.

5. Acceptable Use

You agree not to use Filely to:

• Download, store, or share content that infringes copyright, trademark, or other intellectual property rights.
• Bypass digital rights management (DRM) or any technical protection measure.
• Harass, harm, defame, or impersonate any person or entity.
• Distribute malware, spyware, or any harmful code.
• Attempt to disrupt, attack, or gain unauthorised access to the app's services or backends.

6. Content Responsibility

Filely is a tool. You are solely responsible for the content you choose to download, store, or process with the app, including ensuring you have the right to do so under applicable copyright and platform-specific terms (e.g. YouTube, TikTok, Twitter/X, Instagram, Reddit). We do not host or distribute that content; it is fetched directly from third-party sources to your device.

7. Intellectual Property

All rights, title, and interest in the app — including its source code, design, logos, and trademarks — are owned by us or our licensors. These Terms do not grant you any rights in our trademarks or branding.

8. Third-Party Services

Filely uses third-party services (Apple, Google/Firebase, AdMob) to provide its functionality. Your use of those services is also governed by their respective terms and privacy policies. We are not responsible for the content or practices of third-party services.

9. Disclaimers

The app is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or compatible with all devices or third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising out of or in connection with your use of the app, even if advised of the possibility of such damages. Our aggregate liability shall not exceed the amount you paid us for the app (if any) in the 12 months preceding the claim.

11. Termination

You may stop using the app at any time. We may suspend or terminate your access if we reasonably believe you have violated these Terms. Sections 6, 7, 9, 10, and 12 survive termination.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the app after the updated Terms become effective constitutes acceptance. The "Last updated" date above reflects the latest revision.

13. Governing Law

These Terms are governed by the laws of the country in which we are established, without regard to conflict-of-law principles. To the extent permitted by law, disputes shall be resolved in the courts of that jurisdiction.

14. Apple-Specific Terms

You acknowledge that these Terms are between you and us, not with Apple. Apple is not responsible for the app or its content. In the event of a failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation. Apple is a third-party beneficiary of these Terms and may enforce them against you.
